The following Terms and Conditions of Service apply to all artwork, graphic design, print and services provided by NeuOrb Consulting Pvt. Ltd.
All design work is carried out by NeuOrb Consulting Pvt. Ltd. on the understanding that the client has agreed to abide by NeuOrb Consulting Pvt. Ltd terms and conditions.
Copyright of all graphic design work is retained by NeuOrb Consulting Pvt. Ltd. including copy, concepts, ideas, proofs and illustrations (unless specifically released in writing) until after all invoices have been settled.
If multiple design concepts are submitted, only the one finalized concept is deemed to be given by NeuOrb Consulting Pvt. Ltd. as fulfilling the contract. All other artwork designs remain the property of NeuOrb Consulting Pvt. Ltd, unless agreed in writing.
Design Charges
Charges for design services to be provided by NeuOrb Consulting Pvt. Ltd will be set out in the written estimate or quotation that is provided to the customer. At the time of the customer’s signed acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable payment of 50% of the quoted fee will become immediately due.
Unless agreed otherwise with the Client, all design services require an advance payment of a minimum of fifty (50) percent of the project quotation total, before the work commences or is supplied to the Client for review. The remaining fifty (50) percent of the project quotation total will be due upon completion of the work prior to providing the source file for the design.
Charges for Other Services
Charges for any additional services over and above the estimated design will be made known to the client. The payment for these services will be due along with the completion of the project or as agreed with the client.
Design samples
The Client also agrees to allow NeuOrb Consulting Pvt. Ltd to showcase the work created in the course of a project as part of NeuOrb Consulting Pvt. Ltd portfolio. NeuOrb Consulting Pvt. Ltd acknowledges the confidential nature of projects and agrees to only display project work once design has been publicly launched and that too after the prior approval from the client.
Source Files
NeuOrb Consulting Pvt. Ltd will supply proofs and PDF files as appropriate for printing, or other graphic format files as detailed in the job scope or request.
Charges for design work do not cover the release of our copyright design source files, including but not restricted to, psd, AI, png, fla or other source files or raw code; if the Client requires these files for transfer to an in-house or other designer, they will be subject to a separate quotation or ‘buy-out’ charge, unless it is agreed in advance before commencement of the project.
Design Project Completion
NeuOrb Consulting Pvt. Ltd considers the design project complete upon receipt of the customer’s sign off. Other services such as printing, display panel production, filmwork, website uploading, publishing etc either contracted on the client’s behalf constitute a separate project and will be treated as a separate charge.
Termination of Contract
From time to time circumstances beyond the control of either party may result in the need for project cancellation. In the event of the client cancelling a project after a project has commenced, the advance payment (deposit) will be forfeited in lieu of compensation to NeuOrb Consulting Pvt. Ltd. This is to cover design and administration time spent, resources purchased and allocated, research time and administration costs. If the project is more than 50% completed (this is determined by NeuOrb Consulting Pvt. Ltd and the client by negotiation) a prorata payment is payable for time spent up until cancellation notice.
If a project is cancelled by NeuOrb Consulting Pvt. Ltd, due to unforeseen circumstances, the deposit will be refunded in full to the client in a timely manner.
In the event of cancellation of the project by the client, ownership of all copyrights and the original artwork and disks shall be returned and retained by the NeuOrb Consulting Pvt. Ltd.
